Vestaro - Terms of Service

Welcome to Vestaro ("Vestaro," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the Vestaro website, platform, tools, software, API, and any related services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use of the Services.

1. Overview of the Services

Vestaro provides software tools for image editing, virtual staging, visualization, and other AI-powered features. Users may upload images and materials, generate outputs, integrate through the API, and access documentation or support resources. These Terms apply to all visitors and users of the Services.

2. Eligibility

You must have the legal capacity to enter into agreements and, if you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. The organization will be responsible for your use of the Services.

3. Account Registration

Certain features of the Services require creating an account. You agree to provide accurate and current information during registration, to keep your login credentials secure, and to accept responsibility for all activities that occur under your account. Vestaro reserves the right to suspend or terminate accounts that violate these Terms or that contain false or misleading information.

4. License to Use the Services

Vestaro grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services in accordance with these Terms. This license does not permit copying, modifying, distributing, reselling, reverse engineering, or otherwise exploiting the Services. Any unauthorized use is strictly prohibited, and all rights not expressly granted remain with Vestaro.

5. User Content

You may upload images, files, data, prompts, and other materials ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Vestaro a license to host, store, process, modify, and transform it as necessary to provide and improve the Services. This may include using content to enhance model performance, unless an opt-out mechanism is provided and selected. You are responsible for ensuring that you have the rights needed to submit and use any User Content.

6. Generated Output

The Services may produce edited, modified, or newly generated content ("Output"). You may use your Output for your intended purposes, provided you comply with applicable laws, policies, and third-party rights. Because Output is generated using machine learning models, it may contain inaccuracies, artifacts, or unexpected results. Vestaro does not guarantee that Output will be accurate, realistic, or suitable for professional, legal, architectural, or regulatory use.

7. API Usage

If you access the Services through the Vestaro API, you agree to use API keys securely, follow usage limits, and comply with billing terms. You may not misuse the API, attempt to circumvent security or limits, or use the API to replicate competing functionality. Vestaro may suspend or restrict API access in cases of abuse or security concerns.

8. Payment and Billing

Fees, subscription plans, credit purchases, and usage-based charges are described at checkout or in applicable agreements. By subscribing or purchasing access, you agree to maintain a valid payment method and to pay all associated charges. Subscriptions may renew automatically unless canceled. Credits and promotional offers are non-refundable except as required by law.

9. Acceptable Use

You agree not to use the Services in ways that violate laws or regulations, infringe intellectual property or privacy rights, harm others, or interfere with the operation or integrity of the Services. Without limiting the foregoing, you specifically agree not to use the Services to create, upload, or distribute any of the following:

• Non-consensual or impersonating imagery, including deepfakes or any depiction of an identifiable real person without their explicit consent.
• Sexual, violent, hateful, or otherwise harmful content, including any content that sexualizes or depicts minors, promotes self-harm, or incites violence or discrimination.
• Materially misleading property representations, including images that fabricate or remove load-bearing structures, conceal known defects, misrepresent square footage, lot lines, or amenities, or otherwise violate Multiple Listing Service ("MLS") rules, real-estate advertising laws, or fair-housing requirements applicable to your jurisdiction.
• Infringement of third-party rights, including unauthorized reproduction of copyrighted designs, trademarks, branded furnishings, or photographs you do not have the right to use.
• Fraudulent, deceptive, or unlawful activity, including using Outputs to mislead consumers, evade disclosure obligations, or facilitate money-laundering or other illegal conduct.
• Abuse of the Services, including attempts to bypass rate limits, reverse engineer the models, scrape generated assets in bulk, or use the API to build a competing generative product.

You are solely responsible for the use, distribution, and disclosure of any Output you generate. Vestaro may, at its sole discretion, suspend or terminate accounts that violate this section, and may report unlawful conduct to the appropriate authorities.

10. Intellectual Property

All software, models, interfaces, documentation, and branding associated with the Services are owned by Vestaro or its licensors. These Terms do not grant any ownership rights or licenses beyond what is explicitly stated. Unauthorized use of Vestaro's intellectual property is prohibited.

11. Termination

Vestaro may suspend or terminate your access to the Services if you violate these Terms, pose security or legal risks, or if required by law. You may stop using the Services at any time. Provisions that by nature should survive termination—such as limitations of liability—will continue to apply.

12. Disclaimer of Warranties

The Services are provided "as is" without warranties of any kind. Vestaro does not guarantee uninterrupted operation, accuracy of Outputs, compatibility with specific systems, or that the Services will meet your requirements. Your use of the Services is at your own discretion and risk.

13. Limitation of Liability

To the maximum extent permitted by law, Vestaro is not liable for indirect, incidental, consequential, or punitive damages. Vestaro's total liability for claims arising from the Services will not exceed the amount you paid in the preceding twelve months. Some jurisdictions do not allow certain limitations, so these may not apply to you.

14. Indemnification

You agree to indemnify and hold Vestaro and its affiliates harmless from any claims, losses, liabilities, or expenses arising out of your use of the Services, your violation of these Terms, or your infringement of third-party rights.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles. Any disputes must be brought in the state or federal courts located in Delaware.

16. Changes to the Terms

We may update these Terms from time to time. When changes are material, we will provide notice through the platform or via email. Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
